TERMS OF REFERENCE
CONSULTANCY TO REVIEW AND UPDATE THE 2018 AMENDED CONSTITUTION
Background
The Civil Society for Poverty Reduction (CSPR) is an anti-poverty civil society network that has been building a voice for the poor in the fight against poverty. It was established in 2000, primarily to ensure that civil society effectively and meaningfully participates in the design, formulation, and implementation of the National Development Plans. CSPR is a network member organization and has a membership of over 104 national and community Based Organisations, working with communities across the five (5) provinces. The operational localities and areas of intervention of CSPR’s network members (i.e. NGOs /CSOs) are diverse and includes health, education, WASH, agriculture, rural infrastructure and social protection, as well as environmental protection projects. Members also engage in peace building activities, and the promotion of human rights and good governance.
Whilst the CSPR continues to work towards improving the living standards of the poor and marginalized members of the society by supporting poverty reduction initiatives, its interventions are consistent with the priorities outlined in the national Policies and plans such as the National Development Plan.

Since its establishment, the CSPR’s Constitution has continued to regulate the operations of the organization. Therefore, the main objective of this consultancy is to review and update the constitution to accommodate the requirement of not only an expanded membership, but the need to improve services to its members in a cost-effective and sustainable manner. In this regard, CSPR is aspiring to review and update the 2018 amended Constitution with a view to map the long-term direction for the implementation of its mandate. 2. Objective
The overall objective of this consultancy is to review and update the CSPR’s Constitution with a view to not only ensuring the fulfilment of its mandate, but to realign its strategic priorities to the context.
3. Scope of Work
The scope of work for the Consultant will include but not limited to:
a) Review the vision, values and mission based on CSPR’s mandate.
b) Undertake a situation analysis of CSPR operations to date
c) Through a consultative process with CSPR Board and members, and application of an appropriate tool of analysis, identify relevant areas and develop strategic objectives for governance and management.
d) Review and update the organizational structure which consists of the Membership Body, the Board and the Secretariat, their roles & responsibilities, by-laws, related matters and make recommendations, if any.
e) Convene a stakeholder meeting to validate the draft Constitution.
f) Finalize Constitution and submit to Board of Trustees.

This assignment is expected to be carried out for a period of 20 working days
6. Institutional Arrangements
The Consultant will report directly to the Executive Director of Civil Society for Poverty Reduction (CSPR) who will provide relevant background documents necessary for the assignment. CSPR shall facilitate the coordination of meetings and other activities regarding the Consultancy.
7. Expertise
a) Academic Qualifications
At least a Master’s degree in a relevant field in the area of Law, planning, policy and management and any related field
b) Experience
i. At least five years professional experience in drafting Constitution and statutes
ii. Prior working experience on NGO and CSOs matters is an added advantage
iii. Demonstrated experience in working with NGOs, Civil society organizations, government, development partners and other stakeholders in public sector development programs especially in the area of social and development work
