The Job
• The Tobacco Board of Zambia (TBZ) was established in 1964 under the Tobacco Act Chapter 237 and the Tobacco Levy Act Chapter 238 of the Laws of Zambia which were later repealed and replaced by the Tobacco Act No. 10 of 2023. TBZ is an organisation with the mandate to promote, protect and facilitate tobacco production and regulate the tobacco industry through effective enforcement of the Law. As regulator of the tobacco Industry TBZ contributes to economic growth and development by promoting production, trade and investment through an efficient, effective and coordinated private sector led growth strategy.
• TBZ is now looking for an outstanding, result oriented and highly motivated individual, for the role of Board Secretary and Legal Counsel. The successful candidate shall be responsible for providing legal advice and ensuring that the interests of the Tobacco Board of Zambia (TBZ) are safeguarded. The Board Secretary/Legal Counsel will serve as a critical link between the Board of Directors and the management team of the Tobacco Board of Zambia. He/she will play a pivotal role in ensuring the smooth functioning of the Board and its Committees by providing administrative support, facilitating communication. and maintaining accurate records of Board activities. The Board Secretary/Legal Counsel will also ensure compliance with legal and regulatory requirements and promote good governance practices within the organization.

Duties and Responsibilities
The duties and responsibilities of the Board Secretary and Legal Counsel are as follows:
• Undertakes effectively the provision of secretarial services to the TBZ Board in order to facilitate smooth conduct of business.
• Undertakes timely review and preparation of contracts. agreements, laws, regulations, memoranda of understanding, and other legal documents in order to safeguard interests of the TBZ.
• Provide timely legal opinions on matters of interest to TBZ to ensure adherence to the provisions of the law and avoid financial loss.
• Undertakes effectively representation of the TBZ in court in order to protect the interest of the Board.
• Undertakes timely development of Individual Work Plan in order to monitor and evaluate performance. Coordinates Board meetings along with those of their committees in order to ensure effective implementation of policies.
• Ensure comprehensive record of actions agreed at the meetings are maintained and actions are followed up and reported on at the appropriate subsequent meeting.
• Prepare and present governance reports to the TBZ Board and to relevant Committees and external agencies as required to deliver integrated governance strategy and requirement.
• Perform any other duties as assigned by the supervisor from time to time.

Qualifications and Attributes
• Full Grade 12 School Certificate with minimum five O level credits including English and Mathematics
• Bachelor of Laws (LLB)
• Advocate of the High Court of Zambia.
• Member of the Law Association of Zambia (with current practicing certificate)
• Master of Laws in Corporate Law or related field will be an added advantage

Experience and Skills
• Minimum of five (5) years of practice as an advocate of the High Court of Zambia
• Minimum of 5 years of Work experience as Board Secretary or related responsibilities is desirable
• Experience working in or with a governmental agency preferably in Zambia
• Familiarity with TBZ’s role in Tobacco Sector in Zambia Strong analytical skills
• Excellent oral and written communication skills
• team building skills
• Must be computer literate and proficient in MS Office
• Excellent interpersonal and public relation skills
• Capacity in decision-making and problem-solving
• Familiarity with relevant laws, regulations, and governance frameworks applicable to Zambia.
• Ability to work independently and as part of a team
