Job Description / Principal Accountabilities (Main Duties)
1. Departmental Planning and Budgeting
• Provides input to Deputy Head Legal Compliance into the departmental workplan and budget.
• Minimises operational costs by ensuring that divisional expenditure remains within budget approval and savings made from budget.
2. Legal Advisory
• Provides professional legal advice and opinions on instruction from the Deputy Head of Legal – Compliance.
3. Litigation
• Attends to in house litigation as assigned.
• Attends to negotiations with External Legal Counsel on fee structure and liaises with them on case management strategy as assigned.
• Developing strategies to resolve cases favourable and cost effectively.
• Provides input into the divisional quarterly reports to the relevant Committee of the Board on litigation status of the company.
4. Conveyancing and Corporate Transactions
• Attends to representation in conveyancing and corporate transactions either through External Counsel or in-house legal representation as assigned.
• Attends to in-house conveyancing and corporate transactions as assigned.
5. Statutory and Corporate Compliance
• Makes recommendations for the development and implementation of company policies and regulations to the Deputy Head of Legal – Compliance.
• Renders legal advice on all business operations relating to compliance as assigned.
• Provide input to the Deputy Head Compliance for Group support initiatives and programmes aimed at ensuring 100% Compliance Status of the Portfolio.
• Makes recommendations for designing and monitoring control systems to deal with violations of legal rules and internal policies.
• Undertakes the assessment of the efficiency of control systems and recommends effective improvements as assigned.
• Reviewing and evaluating company procedures and compliance risk management strategies as assigned.
• Undertakes audits on company procedures and processes as assigned.
• Coordinates employee training sessions on legal and compliance issues as assigned.
• Makes recommendations to the department on statutory and corporate governance matters as assigned, including providing unsolicited updates and advise on any changes in the legal and corporate governance framework.
6. Company Secretarial
• Provides secretarial services to special purpose vehicles incorporated by the Company and any other companies in the IDC portfolio as assigned.
7. Increased Efficiency
• Ensures provision of reasoned written opinions with proposed solutions to supervisors within prescribed timelines.
• Ensures effective and timely negotiation.
• Ensures outsourced legal services adhere to agreed TORs, unless a variation is authorised by Management.
• Ensures that administrative tasks within the department are undertaken within the specified timelines.
• Ensures enhanced risk management.
8. People Management and Leadership
• Mentors, coaches, and provides on-the job training to the direct reports.
• Periodically submits required reports relating to mentorship and training/coaching programmes to the department in charge of Human Capital.
• Provides input in staff development and retention strategies and ensuring these are implemented.
• Ensures provision of technical capacity and support in internal functions and other staff achieve premium management service.
• Ensures enhanced employee engagement and performance of reports.
• Provides and promotes sound leadership practices i.e., Inspirational Leadership in relation to his reports
• Ensures implementation of Performance Management and Reward Systems.
9. Health and Safety
• Takes reasonable care for own health, and safety as well as that of other employees, clients, and others as may be required from time to time.
10. Furtherance of Company’s Interests
• Exercise the powers and duties generally exercised by Senior Legal Counsel – Compliance in the furtherance of the interests of the company as may be authorised and or delegated by the Supervisor.
11. Meetings
• Prepare key departmental presentations, talking points and any other information required.
12. Any other Duties
• Perform any other job-related duties as assigned.
