JOB DETAILS:
Job Opportunity: Trainee – Corporate Secretarial Services
• We are a corporate secretarial service entity seeking a suitable individual to join our team as a Trainee. The key responsibilities will eventually include:
• Company Incorporation: Forming companies, including foreign companies, business names, and local companies (e.g., Private Companies Limited by Shares, Limited by Guarantee, or Unlimited Private Companies).
• Annual Returns Management: Drafting and filing PACRA Annual Returns and maintaining a schedule for due dates.
• Shareholder Certificates: Drafting and obtaining shareholder certificates.
• Mandatory Registers: Preparing registers such as the Beneficial Ownership Register, Board of Directors Register, and Members/Shareholders Register.
• Share Transactions and Company Changes: Drafting documents and handling tasks related to share transfers, allotments, alterations or reduction of share capital, and changes in board composition.
• Board and Shareholder Resolutions: Drafting resolutions and advising clients on the appropriate meetings and resolutions for specific matters.
• Corporate Governance Compliance: Ensuring compliance with the Companies Act No. 10 of 2017.
• Meeting Minutes: Attending board meetings, taking minutes, and finalizing them within a specified period.
• PACRA Documentation: Drafting all necessary documents for company changes.
Articles of Association Review: Ensuring compliance with the Companies Act No. 10 of 2017.
Tax and Statutory Registrations: Obtaining TPINs for clients, filing property transfer tax applications with the Zambia Revenue Authority, and attending to other statutory registrations (e.g., Business Levy, Fire Certificates, NAPSA, Workers Compensation Fund, ZDA, National Council for Construction).
• Additional Duties: Handling any other tasks related to the above responsibilities or as directed.

Qualifications
• Bachelor’s Degree or Diploma in Law or Business Administration
Ideally candidates will also have some credentials in Corporate Governance or Corporate Secretaries qualification or experience.
