JOB DETAILS:
• Reporting directly to the Commissioner General, the job holder will be responsible for providing timely Board Secretarial services to the Governing Board and Management and ensuring that best practice in Corporate Governance is embedded in the organisation.
Main Duties/Accountabilities
• Providing secretarial services including preparations of the Agenda in consultation with the Commissioner General, preparation of documents in form of Board packs and delivering them to Director of the Governing Board;
• Arranging and calling for Board Meetings and taking correct record (minutes) of proceedings of the governing Board Meetings;
• Cascading Governing Board resolutions to members of the Senior Management and making timely follow ups on actions taken as a way of tracking and reporting the same to the Board through the Commissioner General; Ensuring timely communication of relevant information to Board members;
• Ensuring that changes in legislation are communicated to the Board and Senior Management Members (SMM);
• Ensuring that governance policies in ZRA are in place and are in line with best practice such as Code of conduct, Declarations of Interest, Gifts and Entertainment Policy, Delegation of Authority Policy etc as key Governance advisor; Coordinating external Board evaluations and Board Workshops;
• Managing the ZRA Seal and Executive Legal Contracts on behalf of the Board and being the Custodian of key Authority’s documents;
• Ensuring that all Authority resources under the Board Secretary’s Office are budgeted for and used solely for Authority purposes and that there is no misuse of assets, including information.
Minimum Requirements
• Grade Twelve School Certificate or General Certificate of Education (GCE) equivalent;
• University degree in Law, Business Administration, Economics, Accounting, Public Administration or equivalent;
• At least Six (6) years post qualifying relevant work experience at middle management;
• Practical experience of performing Board Secretarial functions;
• A Masters degree in a relevant field;
• Fellow of the institute of Chartered Secretaries and Administrators or any other relevant professional body.
